("Greenlane" or the "Company") (NASDAQ:GNLN), one of the largest global sellers of premium cannabis accessories, child-resistant packaging, and specialty vaporization products, today announced that it has entered into a definitive agreement with a single institutional investor, for the purchase and sale of 21,600,000 shares of its common stock (or common stock equivalents in lieu thereof) and warrants to purchase 21,600,000 shares of common stock at a purchase price per share (and accompanying warrant) of $0.25 in a registered direct offering.
The warrants to be issued will have five and one-half year term, will become exercisable six months following the date of issuance and will have an exercise price of $0.25 per share.
The closing of the offering is expected to occur on or about June 29, 2022, subject to the satisfaction of customary closing conditions. The gross proceeds from the offering are expected to be approximately $5.4 million. The Company intends to use the net proceeds from the offering for general corporate purposes.
