Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously announced in January 2014, Thomas H. Aasen, Executive Vice President, Chief Financial Officer and Chief Business Officer of ACADIA Pharmaceuticals Inc. ("ACADIA" or the "Company"), informed the Company that he would be retiring due to health and family-related considerations. On April 9, 2014, Mr. Aasen informed the Company that his last day will be April 18, 2014. ACADIA has an ongoing search for Mr. Aasen's replacement as Chief Financial Officer.

In connection with Mr. Aasen's retirement, on April 11, 2014, the Company's Board of Directors appointed Uli Hacksell, Ph.D., the Company's President and Chief Executive Officer, as the Company's principal financial officer and principal accounting officer, effective as of Mr. Aasen's retirement. Dr. Hacksell's biographical and compensation information is available in the Company's prior filings with the Securities and Exchange Commission, including its Annual Report on Form 10-K, filed February 27, 2014, its Definitive Proxy Statement, filed April 25, 2013, and its Current Report on Form 8-K, filed March 11, 2014.
