On March 9, 2016, The ADT Corporation (the Company) issued a press release announcing that, on March 9, 2016, the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the HSR Act), in connection with the proposed merger of Prime Security One MS, Inc. (Merger Sub) with and into the Company (the Merger) pursuant to the Agreement and Plan of Merger, dated February 14, 2016 (the Merger Agreement), by and among the Company, Prime Security Services Borrower, LLC, Merger Sub, and solely for the purposes of Article IX thereof, Prime Security Services Parent, Inc. and Prime Security Services TopCo Parent, L.P.
The early termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Merger. The closing of the Merger remains subject to the satisfaction or waiver of the remaining conditions to the Merger set forth in the Merger Agreement, including adoption of the Merger Agreement by the Companys stockholders.
