Item 8.01. Other Events
On June 26, 2013, Buckeye Technologies Inc. (Buckeye) established a record date and a meeting date for a special meeting of stockholders to consider and vote upon, among other things, the adoption of the previously announced Agreement and Plan of Merger, dated as of April 23, 2013, by and among Georgia-Pacific LLC, GP Cellulose Group LLC and Buckeye (the Merger Agreement). The special meeting will be held on Thursday, August 15, 2013. Buckeye stockholders of record at the close of business on Monday, July 8, 2013 will be entitled to notice of and to vote at the special meeting.
NOTICE TO INVESTORS ABOUT THE MERGER: In connection with the potential merger, Buckeye expects to file a proxy statement with the Securities and Exchange Commission (the SEC), as well as other relevant materials in connection with the proposed transaction pursuant to the terms of the Merger Agreement. The materials to be filed by Buckeye will be made available to Buckeyes stockholders at no expense to them. In addition, all of those materials will be available at no charge on the SECs website at www.sec.gov. Investors and stockholders of Buckeye are urged to read the proxy statement and the other relevant materials when they become available before making any voting or investment decision with respect to the proposed merger because they contain important information about the merger and the parties to the merger.
